Case Study

A US cosmetic company once acquired a Korean skincare business.

Not for the skincare. Not for the brand.

What the buyer really wanted was its distribution network across Korea and North Asia — a network that would have taken years and significant investment to build from scratch.

Customers valued the skincare products. The buyer valued something else entirely: market access and distribution.

To the owner, the network was simply part of running the business. To the buyer, it was the reason to acquire it.

The price paid reflected what the business had — not just what it sold.

And this doesn't only happen in large international deals.

A local branding and marketing agency's customers paid for its creative work — campaigns, talent and ideas. But when an acquirer looked at the business, one of the assets that attracted its attention was a multi-year Whole-of-Government contract that even some of the agency's own team didn't think of as an asset.
